AI-Deate offers a platform to accelerate your creative workflows using machine learning. We provide these Services to you subject to your compliance with these Terms and all applicable laws. AI-Deate reserves the right to modify, suspend or terminate the Services (or any part thereof) at any time with or without notice to you. AI-Deate has no obligation to provide you with any support or maintenance in connection with the Services. No guarantees, whether express or implied, are made related to the quality, reliability or uptime of the Services.

To use our Services, you must create an AI-Deate account. You must be at least 13 years old to use AI-Deate. If you are under 13, your parent or legal guardian must agree to these Terms on your behalf. If you are a parent or legal guardian permitting a person under 13 to use AI-Deate, you agree to be fully responsible for: (i) controlling the minor's use of AI-Deate; (ii) the online conduct of such minor; and (iii) monitoring the minor's use of AI-Deate to ensure compliance with these Terms.

You are responsible for the information you provide in your account and for keeping your password secure. You must notify AI-Deate immediately of any unauthorized use of your account. You represent and warrant the truthfulness and accuracy of the information you always provided upon registration and during the use of the Services. AI-Deate reserves the right to suspend or terminate your account in accordance with Section 8.

For any image, graphics, footage, video, text, audio, or any other content that you upload or post to the Site (“Uploaded Content”), you represent and warrant that: (i) you own and/or have all necessary rights to submit Uploaded Content to the Site and grant the licenses set forth herein; (ii) AI-Deate will not need to obtain licenses from any third party or pay royalties to any third party with respect to Uploaded Content; (iii) Uploaded Content does not infringe any third party's rights, including intellectual property rights and privacy rights; (iv) your Uploaded Content does not include any personal data unless provided in accordance with applicable law; and (v) Uploaded Content complies with these Terms and all applicable laws.

By uploading the Uploaded Content, you hereby grant (and you represent and warrant that you have the right to grant) AI-Deate, its successors and assigns an irrevocable, perpetual, royalty-free and fully paid, worldwide license to reproduce, distribute, store, transfer, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit Uploaded Content, and to grant sublicenses of the foregoing rights, for the purposes of including and using Uploaded Content in connection with the operation of its businesses, including to develop, improve and providing the Services. The above licenses will continue unless and until you remove Uploaded Content from the Site, in which case the licenses will terminate within a commercially reasonable period.

You will be entitled to US$0.025 (two and a half U.S. cents) per use of your Uploaded Content by AI-Deate User (“Royalty Fee”). You must accrue a minimum of US$100 (one hundred U.S. dollars) in Royalty Fees before being eligible for payment. Royalty Fees below this threshold will be carried over to subsequent months. Payment of the Royalty Fee shall be made in U.S. Dollars based on our policy and in full for the Royalty Fees accrued during the previous month, provided the minimum payout threshold has been reached. AI-Deate reserves the right to adjust the rate of the Royalty Fee by giving you written notice in prior to adjustment. You are solely responsible for the taxes, fees or other costs applicable to you. AI-Deate may withhold the applicable taxes, fees, or any charges in relation to the payment of the Royalty Fees.

For non-commercial use of the Services, any images, text or other content you submit to, or uses with, AI-Deate and created using AI-Deate ("Your Content") belong to you. You hereby grant (and you represent and warrant that you have the right to grant) AI-Deate, its successors and assigns an irrevocable, perpetual, royalty-free and fully paid, worldwide license to reproduce, distribute, store, transfer, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit Your Content, and to grant sublicenses of the foregoing rights, for the purposes of including and using Your Content in connection with the operation of its businesses, including to develop, improve and providing the Services.

Nothing in these Terms shall prohibit us from creating or providing any output or results (a) that are the same as or similar to the output made available to you or (b) from information or content that is the same as or similar to Your Input or Your Generate Content.

For use the Services for commercial purposes, like advertising, marketing or promotion, you must obtain a Commercial License from AI-Deate to use any content from our Services ("AI-Deate Images"). Commercial Licenses are subject to additional terms and Service Fees. With a Commercial License, you retain ownership over any commercial concepts or work product developed using AI-Deate Images. However, AI-Deate continues to own all rights in the AI technology, software and image generation processes powering our Services. AI-Deate Images are licensed to you, not sold.

You will pay all fees charged to your account (“Fees”) according to the prices and terms on the applicable pricing page, or as otherwise agreed between us in writing. Fees are subject to change by notice to your account and/or on the Site. You authorize AI-Deate and its affiliates, and our third-party payment processor(s), to charge your payment method for the Fees. If your payment cannot be completed, we will provide you with written notice and may suspend access to the Services until payment is received. Fees are payable in U.S. dollars and are due upon invoice issuance. Payments are nonrefundable except as provided in this Agreement. If any amount of your Fees is past due, we may suspend your access to the Services after we provide you with written notice of late payment. You agree that you alone will be responsible for paying all taxes and statutory contributions relating to your receipt of Fees under this Terms, including, goods and services or sales taxes.

AI-Deate owns all rights to the technology, software, visual interfaces, interactive features and other elements of our Services ("AI-Deate Content"). You may not copy, modify, or distribute, host or otherwise commercially exploit, whether in whole or in part, AI-Deate Content without our prior written consent.

You may not use any AI-Deate Content for any purpose without first obtaining a license to use such AI-Deate Content. Any use of AI-Deate Content by you shall be governed by the applicable license agreement separately entered into between you and AI-Deate. Displaying and/or distributing to the public any watermarked or unlicensed AI-Deate.

You must not use AI-Deate or AI-Deate Content to violate any laws or harm others. This includes, but is not limited to:

• Uploading or distributing content that is infringes intellectual property rights or any right of publicity or privacy of others,Uploading or distributing content that is infringes intellectual property rights or any right of publicity or privacy of others,
• Uploading or distributing content that contains any pornographic, defamatory, exploits minors or otherwise unlawful or immoral content;
• Impersonating others or distributing false information meant to cause harm;
• Threatening, abusing, defaming or violating the privacy or rights of others;
• Promoting fraudulent schemes or gives rise to a claim of deceptive advertising or unfair competition;
• Promoting or depicting violence, discrimination, terrorism or illegal activities;
• Disseminating personally identifiable information meant to harm individuals;
• Using an automated system to extract data from AI-Deate (scraped content) beyond what our APIs allow; orUsing an automated system to extract data from AI-Deate (scraped content) beyond what our APIs allow; or
• Attempting to access AI-Deate's systems or reverse engineer our technology.

AI-Deate reserves the right to review any use of our Services and Content to ensure compliance with these Terms. Violations may result in account termination and revocation of licenses or access.

You may stop using AI-Deate at any time. We may suspend or terminate your access to AI-Deate if you violate our Terms. Upon termination, your right to access AI-Deate Content and Services immediately ends. Should we suspend or terminate your access to AI-Deate, we reserve the right to solely consider and determine if your violation of the Terms cause damages to us and will withhold the Fees (if any) in your account to compensate for the damages caused. You agree that our decision will be final and, to the extend permitted by law, waive the rights to contest, make claims or pursue any action against AI-Deate in this regard.

AI-Deate may change these Terms at any time by posting notice on our website or emailing registered users at least 30 days before changes take effect. Your continued use of AI-Deate after changes are posted means you accept the revised Terms.

AI-DEATE IMAGE, AI-DEATE CONTENT, INCLUDING THE SITE AND SERVICES, ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. AI-DEATE EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. AI-DEATE MAKES NO GUARANTEES ABOUT THE ACCURACY, RELEVANCE, TIMELINESS, COMPLETENESS OR APPROPRIATENESS OF AI-DEATE IMAGES FOR COMMERCIAL OR OTHER PURPOSES. YOU ASSUME FULL RESPONSIBILITY FOR DETERMINING WHETHER AI-DEATE IMAGES, AI-DEATE CONTENT, INCLUDING THE SITE AND SERVICES, MEET YOUR NEEDS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI-DEATE (AND OUR SUPPLIERS) SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, AI-DEATE IMAGE, AI-DEATE CONTENT, INCLUDING THE SITE AND SERVICES, EVEN IF AI-DEATE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, AI-DEATE IMAGE, AI-DIATE CONTENT, INCLUDING THE SITE AND SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICE OR COMPUTER SYSTEM, OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION) WILL AT ALL TIMES BE LIMITED TO A MAXIMUM OF FIFTY US DOLLARS (US$50). THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT OUR SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE TERMS.

These Terms are governed by the laws of Singapore, without regard to conflict of law provisions. Any dispute arising from or related to AI-Deate or these Terms shall be subject to the exclusive jurisdiction of the courts located in Singapore.

These Terms constitute the entire agreement between you and us regarding the use of the Services. Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. The word “including” means “including without limitation”. If any provision of these Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law. Nothing in these Terms shall create, or be deemed to create a partnership, joint-venture or the relationship of employer and employee between the Parties. These Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without AI-Deate’s prior written consent.
